Step-by-Step OPC Registration Process
1. Digital Signature Certificate (DSC)
- The director must obtain a Digital Signature Certificate (DSC) to file official documents online.
2. Director Identification Number (DIN)
- Apply for a Director Identification Number (DIN), which is mandatory for company incorporation.
3. Unique Company Name Selection
- Choose a unique and legally compliant name as per Ministry of Corporate Affairs (MCA) guidelines. The name must include “(OPC) Private Limited” at the end.
4. Filing SPICe+ Form for Incorporation
- Submit the SPICe+ Form (Simplified Proforma for Incorporating Company Electronically), which includes:
✔ Business objectives
✔ Director’s details
✔ Registered office address
5. Drafting MOA & AOA
- Prepare and file the Memorandum of Association (MOA) and Articles of Association (AOA), which define the company’s rules and objectives.
6. Appointing a Nominee
A nominee must be appointed to take over the business in case of unforeseen circumstances. The nominee must provide consent via Form INC-3.
7. Certificate of Incorporation
- Once verified, the Registrar of Companies (RoC) issues a Certificate of Incorporation, officially recognizing the OPC.
